Terms of Service

The ground rules for using this website. Client projects are covered by their own written agreements.

These Terms of Service (“Terms”) govern your use of this website (the “Site”), which is operated by CruzSilva LLC, an Ohio limited liability company (“Cruz Silva,” “we,” “us” or “our”). By using the Site, you agree to these Terms. If you don’t agree, please don’t use the Site.

1. About the Site

The Site shows our work, describes our services and gives you a way to get in touch. It’s provided for general information only. Nothing on the Site is an offer to provide services at a particular price, on a particular date or with a particular result.

2. Client projects

Reaching out through the Site, by email or through our inquiry form does not create a client relationship or hold a date. Every project is governed by its own written agreement (such as a proposal, contract or statement of work) signed by both sides, which covers scope, fees, deposits, usage rights, revisions and delivery. If that agreement conflicts with these Terms, the agreement controls.

3. Our work and intellectual property

Unless noted otherwise, the films, photographs, text, graphics, logos (including the CS mark) and design of the Site are owned by Cruz Silva or used with permission from our clients and collaborators, and are protected by copyright and trademark law.

You’re welcome to view the Site and share links to it. You may not download, copy, re-upload, edit, sell or otherwise reuse our work, including to train artificial intelligence or machine learning models, without our written permission.

Client names, logos and brands shown on the Site belong to their owners. Their appearance reflects work we’ve made and doesn’t mean they endorse anything beyond that work.

4. Acceptable use

When using the Site, you agree not to:

  • break any law or violate anyone else’s rights;
  • try to hack, disrupt, overload or get around the security of the Site;
  • scrape, harvest or copy content or contact information in bulk, including with bots;
  • send spam, malicious code or misleading messages, or pretend to be someone else; or
  • present our work as your own.

5. Ideas and materials you send us

If you send us ideas, briefs, scripts, footage or other materials, you confirm you have the right to share them, and you let us review them so we can respond to you. They remain yours.

We treat project details with care, but unless we’ve both signed a confidentiality agreement, sending us an idea doesn’t create a confidential relationship or an obligation to use or pay for it. We develop many concepts on our own and may already be working on something similar.

6. Third-party links and services

The Site links to or embeds services run by others, such as Instagram, Vimeo, YouTube and the providers we use for inquiries, contracts, invoicing and payments. We don’t control those services and aren’t responsible for their content or practices. Their own terms and privacy policies apply when you use them.

7. Copyright concerns

If you believe something on the Site infringes your copyright, email us at cruzsilvastudios@gmail.com with:

  • your name and contact information;
  • a description of the work you believe has been infringed;
  • where the material appears on the Site;
  • a statement that you believe in good faith the use isn’t authorized by the owner, its agent or the law; and
  • a statement that the information in your notice is accurate and that you are the owner or are authorized to act for the owner.

We’ll review every notice and remove or disable material where appropriate.

8. Disclaimers

The Site is provided “as is” and “as available.” To the fullest extent permitted by law, we make no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We don’t promise that the Site will be uninterrupted, error-free or free of viruses or other harmful components, or that its content is complete or current.

9. Limitation of liability

To the fullest extent permitted by law, Cruz Silva and its owners, contractors and collaborators will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or goodwill, arising from or related to your use of the Site. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars (US$100). These limits don’t apply where the law doesn’t allow them, and they don’t change the terms of any signed client agreement.

10. Indemnity

You agree to cover any claims, losses and reasonable legal fees that arise from your misuse of the Site, your violation of these Terms or your violation of someone else’s rights.

11. Governing law

These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-law rules. Any dispute relating to the Site or these Terms will be brought only in the state or federal courts located in Franklin County, Ohio, and you consent to the jurisdiction of those courts.

12. Changes to these Terms

We may update these Terms from time to time. The effective date at the top of this page shows when they last changed. If you keep using the Site after an update, you accept the revised Terms.

13. General

If any part of these Terms is found unenforceable, the rest stays in effect. If we don’t enforce a provision right away, we haven’t waived it. These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Site.
